These Terms of Use are effective immediately for unregistered users and users registering accounts or otherwise acknowledging acceptance of these terms on or after the revision date. For other users who registered accounts before the revision date, it will become effective thirty (30) days after the revision date.

By accessing or using the Project X Placements recruitment website (the “Project X Placements”), you agree to be bound by these Terms of Use (the “Terms”). 1. Eligibility to Use:

You must be at least 18 years of age to use Project X Placements. By using Project X Placements, you represent and warrant that you are at least 18 years of age and that you have the right, authority and capacity to enter into and abide by these Terms of Use.

2. Your Project X Placements Account:

In order to use certain features of Project X Placements, you must register for a Project X Placements account. You may register for an account using your email address and a password or through your account with certain third-party social networking services, such as Facebook or Google (each, a “Social Sign Up and Sign In”). Project X Placements reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete. If you register for a Project X Placements account using your account with a third-party social networking service, such as Facebook or Google, you grant us permission to access, display and use certain information from your third-party social networking service account. You also grant us permission to use your name and profile picture in connection with the use of Project X Placements.

You acknowledge and agree that Project X Placements is not responsible or liable in any manner for any Third-Party Content and undertakes no responsibility to update or review any Third-Party Content.

ii. House Rules:

You agree to abide by the following house rules when using Project X Placements:

• You will not post any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;

• You will not post any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

• You will not post any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;

• You will not post any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

• You will not interfere with or disrupt the Project X Placements or servers or networks connected to the Project X Placements, or disobey any requirements, procedures, policies or regulations of networks connected to the Project X Placements;

• You will not intentionally or unintentionally violate any applicable local, state, national or international law; and

• You will not “stalk” or otherwise harass another user.

Project X Placements may contain links to third-party websites. Such links are provided solely as a convenience to you. Project X Placements has no control over such websites and is not responsible for the contents of any linked website or any link contained in a linked website. Project X Placements is not responsible for any transmission received from any linked website. iv. Applying on Project X Placements:

When you apply for a job on Project X Placements, you are providing your personal information to the employer who posted the job. Project X Placements does not control how employers use the information you provide when you apply for a job.

v. Project X Placements Messaging Service:

Project X Placements may provide a messaging service that allows you to communicate with employers. You acknowledge and agree that any messages you send through Project X Placements may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

vi. Salary Estimates:

Project X Placements may provide salary estimates for certain jobs. Such estimates are based on data collected from employers and other sources. Project X Placements does not guarantee the accuracy of such estimates.

vii. Free Templates:

Project X Placements may provide free templates for resumes, cover letters, and other job search documents. Such templates are provided for your convenience only and Project X Placements does not guarantee the accuracy or completeness of such templates.

4. Special Provisions Applicable To Employers:

i. Posting Jobs on Project X Placements:

Employers may post jobs on Project X Placements. You acknowledge and agree that Project X Placements does not guarantee the accuracy or completeness of any job postings and is not responsible or liable for any claims related to any job postings.

ii. Reviews on Project X Placements:

Employers may post reviews of job seekers on Project X Placements. You acknowledge and agree that Project X Placements does not guarantee the accuracy or completeness of any reviews and is not responsible or liable for any claims related to any reviews.

iii. Communications with Job Seekers:

Employers may communicate with job seekers through Project X Placements. You acknowledge and agree that Project X Placements does not guarantee the accuracy or completeness of any communications and is not responsible or liable for any claims related to any communications.

5. Special Provisions Applicable to Advertisers:

Project X Placements may offer advertisers the opportunity to display advertisements on Project X Placements. You acknowledge and agree that Project X Placements does not guarantee the accuracy or completeness of any advertisements and is not responsible or liable for any claims related to any advertisements.

6. Enforcement by Project X Placements:

i. Removal of Content:

Project X Placements reserves the right, but has no obligation, to monitor or review any content posted on Project X Placements and to remove any content that Project X Placements deems in its sole discretion to be objectionable or in violation of these Terms of Use.

ii. Copyright Policy:

Project X Placements respects the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Project X Placements’ copyright agent the following information:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

• A description of the copyrighted work that you claim has been infringed;

• A description of where the material that you claim is infringing is located on Project X Placements;

• Your address, telephone number, and email address;

• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Project X Placements reserves the right to take any action it deems necessary and appropriate in its sole discretion to protect the rights and safety of its users and third parties.

7. Rights to Your Content:

You retain all of your ownership rights in your content. However, by submitting content to Project X Placements, you hereby grant Project X Placements a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with Project X Placements and Project X Placements’ (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of Project X Placements (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of Project X Placements a non-exclusive license to access your content through Project X Placements, and to use, reproduce, distribute, display and perform such content as permitted through the functionality of Project X Placements and under these Terms of Use.

8. Rights to Project X Placements Content:

Project X Placements and its licensors retain all of their ownership rights in Project X Placements and its content. You may not copy, modify, distribute, sell, or lease any part of Project X Placements or its content. You may not reverse engineer or attempt to extract the source code of Project X Placements.

9. Indemnity:

You agree to indemnify and hold Project X Placements and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with: (i) your use of Project X Placements; (ii) your violation of these Terms of Use; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

10. Disclaimers and Limitation on Liability:

PROJECT X PLACEMENTS IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PROJECT X PLACEMENTS DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROJECT X PLACEMENTS MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS.

IN NO EVENT SHALL PROJECT X PLACEMENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE PROJECT X PLACEMENTS; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON PROJECT X PLACEMENTS, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; OR (iii) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT.

11. Termination:

Project X Placements may terminate or suspend your access to Project X Placements, in whole or in part, without notice, for any or no reason, including without limitation if Project X Placements believes that you have violated these Terms of Use. Upon termination, you will no longer be authorized to access Project X Placements. The restrictions imposed on you with respect to content downloaded from Project X Placements, and the disclaimers and limitations of liabilities set forth in these Terms of Use, shall survive termination.

12. Changes to Terms:

Project X Placements reserves the right, at its sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, Project X Placements will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Project X Placements’ sole discretion.

13. Third-Party Discovery:

You acknowledge and agree that Project X Placements may, either directly or through third parties, collect information about you that is not personally identifiable. Such information may include, but is not limited to, your IP address, geographical location, browser type, referral source, length of visit and pages viewed.

14. Dispute Resolution:

i. Governing Law:

These Terms of Use and any dispute arising out of or related to these Terms of Use or Project X Placements shall be governed by the laws of the National Capital Region – Delhi, without regard to its conflict of law provisions.

ii. Agreement to Arbitrate:

You and Project X Placements agree that any dispute, claim or controversy arising out of or relating to these Terms of Use or Project X Placements shall be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights.

15. Other:

These Terms of Use constitute the entire agreement between you and Project X Placements and govern your use of Project X Placements, superseding any prior agreements between you and Project X Placements. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Project X Placements services, affiliate services, third-party content or third-party software. If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Project X Placements’ failure to enforce any right or provisions in these Terms of Use will not constitute a waiver of such or any other provision. Project X Placements will not be responsible for failures to fulfill any obligations due to causes beyond its control.

These terms and conditions are governed by and construed in accordance with the laws of National Capital Region – Delhi. You agree, in the event of any dispute arising in relation to these terms and conditions or any dispute arising in relation to the website whether in contract or tort or otherwise, to submit to the exclusive jurisdiction of the courts located at National Capital Region – Delhi.
